Michael A. Grim

Michael A. Grim is a Member resident in the Louisville office of Greenebaum Doll & McDonald PLLC, where he practices in the Tax and Finance Practice Group. His practice focuses on controversy, litigation and planning relating to federal, state and local tax matters. In addition, Mike is Chair of the firm?s Aviation Services Team and is a member of the firm?s Indiana, SALT and Federal Tax Teams.

Prior to joining Greenebaum Doll & McDonald, Mike worked for United Parcel Service for nearly 19 years. His last two assignments, which were concurrent, were as the UPS Airline Tax Department Manager and UPS Airline Contracts Manager.

UPS operates one of the world?s largest airlines, using more than 600 aircraft to serve more than 200 countries and territories worldwide. The company?s extensive air network includes international air hubs in Cologne, Taipei, Miami (to serve Latin America), an intra-Asia hub in the Philippines and, the UPS Worldport facility in Louisville, Kentucky.

As the Airline Tax Department Manager, Mike had responsibility for all tax matters related to UPS's airline operations, including international, federal, state and local tax issues.

As the Airline Contacts Manager, Mike had responsibility for all contracts related to aircraft acquisitions, operations and dispositions. Significant deals included acquisition of Airbus A300s, Boeing 767s, Boeing 747-400s, MD-11s and regional and small jet and turbo prop aircraft including Embraers, Lears, Gulfstreams, Bombardier and Fractional interests.  In addition, Mike had responsibility for various engine agreements with a variety of manufacturers such as General Electric, Pratt & Whitney and Rolls-Royce.

Mike also has extensive experience in aviation insurance-related matters, having worked with UPS's aviation insurance brokers and underwriters on various claim-related incidents.

In sum, Mike is able to assist in navigating the myriad tax, legal and regulatory issues unique to aircraft ownership and/or operations, including:

  • Aircraft Acquisition/Disposition ? Aircraft due diligence, airframe, engine and component part purchase agreements, operating leases (wet and dry), capital leases, leveraged leases, fractional ownership interests, trusts for foreign-owned aircraft, escrow agreements, aircraft registration and de-registration issues and 1031 like-kind exchanges.
  • Aircraft Operation and Ownership ? Variety of experience in aircraft operation and ownership, including major and line maintenance agreements, pilot leasing agreements, warranty issues, engine maintenance agreements, passenger-to-cargo conversions and enforcement actions.
  • Aircraft Tax Issues - Federal income tax issues (including passive activity loss, at-risk rules, depreciation, entertainment expense, personal use, etc.), federal excise tax issues (transportation and fuel tax), state and local sales and use taxes, personal property taxes and fuel taxes, as well as operations under FAR Part 91, Part 135 and Part 121.
  • Aviation Insurance ? Experience working with aviation insurance underwriters, policy maintenance and claim adjustments, as well as establishing insurance guidelines.
